2017 ISA Director Candidates

Meet your District 1 Candidates 

 

Denise Scarborough, LaCrosse/LaPorte Co.

As part of Scarborough Farms, Denise farms soybeans as well as corn, cucumbers, wheat, and seed corn in LaPorte County. She also works as a loan officer at the First National Bank of Monterey and is involved in the family excavation business. Denise is involved in Indiana Farm Bureau where she has served as a county board member, as past chair of the State Young Farmer Committee and on the oversight committee, in addition to serving on the American Farm Bureau Young Farmers and Ranchers Committee. She earned her bachelor’s degree at Purdue University, and she and her husband Mark have two children. If elected to the board, Denise wants to continue to bridge the gap between consumers and producers because she believes we are in an era where consumers want to know more about where their food, fiber and fuel come from. 

 

Kyle Tom, Warsaw/Kosciusko Co.

As part of Tom Farms, Kyle farms soybeans, as well as commercial and seed corn in Kosciusko, Marshall, Elkhart, Noble, Whitley and Huntington counties. Kyle is also involved with CereServ Inc. grain handling facility and attended Black Hawk College, the University of Illinois and the Executive Program for Agricultural Producers (TEPAP) at Texas A&M. He is also a 2012 graduate of Indiana’s AgriInstitute program. As an ISA board member, Kyle hopes to represent the farmers of Indiana and make sure their checkoff dollars are being used to create new soybean markets. Kyle and his wife Angie have three children.

 

Joe Tuholski, Mill Creek/LaPorte Co.

Joe raises soybeans, corn, seed corn, popcorn, alfalfa, wheat, feeder steers and dairy heifers in LaPorte and St. Joseph counties and is seeking re-election to the ISA board. Joe has served as an ISA director since 2011 and currently serves as vice-chairman of the board and has been on the Soybean Transportation Coalition board for the past 5 years. He has also been active in Indiana Farm Bureau and has served on the State Young Farmer Committee, volunteers as a leader in the local 4-H organization and has been a featured farmer at the State Fair Glass Barn since 2014. Joe and his wife, Cheryl, have two children. If re-elected, Joe wants to be part of driving the soybean industry in a positive and sustainable direction. He hopes to help keep farmers educated on checkoff use and would also like to help grow ISA membership. 

 

 

Meet your District 2 Directors

 

CJ Chalfant, Hartford City/Blackford Co.

CJ farms soybeans and corn in Blackford County, operating as Double Ridge Farms. He also is a Stewart Seed dealer and works at Chalfant Supply selling Prinsco tile and supplies. He holds an associate’s degree in agronomy and a bachelor’s degree in farm management, both from Purdue University. He is also a Farm Bureau board member. As a member of the ISA board, CJ hopes to better market Indiana soybeans and help spend checkoff dollars efficiently and productively. CJ and his wife, Abbey, have one daughter, Claire.

 

John Emmert, Ligonier/Noble Co.

John raises soybeans as well as corn, hay and beef cattle in Noble County, operating as Eagle View Farm. John is active with the Lions Club and Gideons International as well as being a former school board member and member of his church elder board. John has served on the Soy Aquaculture Alliance Board since 2015. As an ISA board member, John hopes to help advance the use of soybeans, aquaculture and overseas exports from the United States. John and his wife, Maxine, have three grown children.

 

 

Meet your District 3 Director

 

Derika Lynam-Spaetti, Evansville/Vanderburgh Co.

Derika and her husband, Jonathan, raise soybeans as well as white corn in Spencer County in partnership with her husband’s father and uncle as part of Spaetti Farms. When not on the farm, Derika is a high school math teacher. She completed her undergraduate work at the University of Evansville and her graduate work at Indiana Wesleyan University. Derika completed the DuPont Young Leaders program through the American Soybean Association in 2017 and is active in both Indiana Farm Bureau and Spencer County Farm Bureau. As an ISA board member, Derika wants to ensure the wise use of soybean checkoff dollars, bring awareness to area farmers about how their checkoff dollars are used, bring a fresh perspective to the table, and use the knowledge gained from ISA to continue advocating for agriculture.

 

 

Meet your District 4 Directors

 

Jim Douglas, Flat Rock/Shelby Co.

Jim raises soybeans, corn and wheat in Shelby County in partnership with his son and son-in-law. They also have a wean-to-finish hog operation. Jim is completing his third year of board service during which he has served as marketing and communications committee chair and is currently chair of the demand committee. He also serves on the Grain Indemnity Corporation Board. Jim has served as deacon and elder of the First Presbyterian Church of Shelbyville as well as a member of the Noble Township advisory board. By continuing to serve on the board, Jim hopes to learn more about affiliates ISA supports with checkoff funds. He wants to continue to make decisions and provide input on putting checkoff dollars to work to the best of his ability.

 

Anngie Steinbarger, Edinburgh/Shelby Co.

Anngie and her husband, Mike, raise soybeans and corn in Shelby County, as well as operate a cow-calf operation with their immediate family. In addition to farming, Anngie is regional claims manager for ProAg, a nationwide crop insurance company. Anngie’s involvement in her community includes; past board member of  Indiana Farm Bureau Agriculture Law Foundation, treasurer of the Shelby County Beef Cattle Association, President of the Shelby County Planning Commission and the Shelby County Farm Bureau Board. She also enjoyed serving as a 4-H leader. Anngie earned her bachelor’s degree in agriculture from Purdue University. As a board member, her goal is to facilitate new uses and export opportunities for Indiana soybeans. She will continue to support the growth of animal agriculture in the state as a means of developing additional local markets for Indiana soybeans. Anngie and Mike have two daughters, Michelle and Hayley.

 

USB Nominations

 

While the U.S. Secretary of Agriculture appoints directors to the USB board, ISA selects and submits director candidate names to the U.S. Department of Agriculture for the Secretary’s consideration.

 

Any Indiana farmer engaged in the growing of soybeans in the United States who owns, or who shares the ownership and risk of loss of soybeans is eligible to apply.  USB directors serve a three-year term.

National Organizations


The American Soybean Association was founded in 1920 and incorporated in 1946 to provide a collective voice for the nation's soybean growers. Today, the organization represents more than 22,000 U.S. soybean growers in policy development and implementation and international market development. ASA is governed by a board of directors that is determined by the number of members from each state association.
 
ASA policy development begins at the grassroots effort with local growers. Through input to state soybean associations, such as the Indiana Soybean Alliance, voting delegates from member states meet annually to set policy direction. Policy positions are used by national soybean leaders to lobby lawmakers and provide testimony.
 
In addition to representation in Washington, D.C., ASA offers leadership development to its members, media outreach, state association relations and works with other soy industry stakeholders to create market opportunities and value for U.S. soybean growers. The United Soybean Board directs the national soybean checkoff. The soybean checkoff is supported entirely by soybean growers who must contribute 0.5 percent of the market price of each bushel of soybeans sold. USB is made up of 68 volunteer farmer-leaders who are nominated by their state-level checkoff organizations, the Qualified State Soybean Boards (QSSBs), which includes the Indiana Soybean Alliance. Nominees to the board are appointed by the U.S. Secretary of Agriculture.
 
The national soybean checkoff was established in the early 1990s to facilitate soy market development through research and commercialization programs. USB works with the American Soybean Association and the U.S. Soybean Export Council to coordinate efforts that involve legislative action and international markets respectively. Director Expectation Statement

QUALIFICATIONS

Candidates for nomination must be an individual who (i) resides in Indiana, (ii) produces soybeans or has an ownership interest in an entity which produces soybeans and shares in the risk of loss of soybean production (iii) has paid within the last two years into the federal soybean check-off administered by the ISA, (iv) is not in arrears or default on such payments, (v) has not previously been involved in actions which were found by the ISA Board of Directors to be a violation of the code of conduct of the ISA and resulted in such candidate’s removal or resignation from the ISA Board of Directors. (vi) No immediate family member of a director shall serve on the board at the same time as that director.

 

GENERAL EXPECTATIONS

  • Support the ISA mission, goals, policies, and programs
  • Serve actively on committees as requested by the Board President
  • Attend activities and events sponsored by ISA whenever possible
  • Candidate must have personal email address

 

SPECIFIC EXPECTATIONS

  • Complete your term as a director on the Board (Directors commit to a 1- to 3-year term, depending upon the conditions of their election.)
  • Attend quarterly board meetings in various locations throughout the state

Currently, scheduled yearly meeting requirements are:
-Three Board of Directors’ Meetings: Up to 2 days each
-A Committee Day Meeting: Up to 2 days
-Optional Board Events: Up to 6 days per year
-Some of the above meetings may require an overnight stay
-Meeting preparation time, and listening and reporting to local soybean producers as    needed.
-Additional Meetings and Board Conference Calls as needed.
-Board members are reimbursed for reasonable and customary expenses to, from and during board meetings, in accordance with the Board of Directors’ Policy Manual.

 

  • Read, be familiar with, and uphold the policies and standards set forth by the Board of Directors and its Policy Manual
  • Oversee Soybean Promotion and Research Checkoff (SPARC) program
  • Actively participate in the annual budget- and program-planning process
  • Work in committee to initiate and follow through on projects
  • Safeguard the interests of the Board
  • Understand responsibilities of state and national SPARC 
  • Accept a leadership role on behalf of the Indiana Soybean Alliance
  • Be willing and able to make informed, critical decisions
  • Tolerate the attention, as well as the criticism, that may come with leadership
  • Keep informed of state, national, and international soybean issues and be prepared to discuss them with media, community, or other Board members
  • Suggest agenda items periodically for Board and committee meetings to ensure that significant policy-related matters are addressed
  • Suggest possible nominees to the Board who are men and women of achievement, and who can make significant contributions to the work and progress of ISA
  • Must fill out and sign Conflict of Interest Questionnaire
  • Must sign Code of Conduct Statement
  • Must sign Antitrust Guidelines Affidavit

 

FIDUCIARY RESPONSIBILITIES

 

Duty of Care

This requires directors to act in good faith with the care expected of any prudent person in the same position. Directors are expected to read relevant documents, be aware of Board policies, prepare carefully for Board meetings, pay attention to what is going on, and ask questions to clarify actions that are being taken. Duty of care permits the delegation of certain responsibilities to experts, staff, and committees, but requires directors to stay informed of their activities and take appropriate action when needed. ISA bylaws provide that "the business and affairs of the corporation shall be managed by a board of directors." This means that the directors are legally responsible for ISA fiscal and contractual obligations, including preservation of ISA's assets through sound budgeting. Directors are not liable for losses suffered by ISA as a result of poor judgment, if they have acted honestly and within their powers.

 

Duty of Loyalty

This requires directors to give undivided allegiance to ISA when acting as an ISA director, without regard to personal interest, business interest, or the interest of any other region or organization.

 

Duty of Obedience

This requires directors to conform to all laws generally affecting the organization, including its articles of incorporation, code of bylaws, corporate resolutions, policies and mission statement. Directors who fail to observe their fiduciary responsibilities could be held personally liable for their actions. A director cannot abdicate responsibility by failure to direct.

 

 

ETHICAL RESPONSIBILITIES

Directors must recognize that their authority is limited to the establishment of objectives and policies that are beneficial to ISA. Directors must recognize that, except when the Board is in a formal meeting, their authority is equal only to the rights and authority of any individual soybean producer. While an individual director may disagree with a policy or action adopted by majority vote of the Board, they should support such policy or action as being the considered judgment of the Board and in accordance with the code of conduct policy set forth by the Board Policy Manual.  When offered gifts or incentives, Directors must abide by the gift policy set forth by the Board.
